The Secretary’s to do list for 2016

It’s a new year, which means its time to reflect and set out goals and targets for the year. For the Company Secretary it also means getting your calendar right, marking down important dates and setting up reminders.

We’ve rounded up a few things to include in your to-do list for the year, so whatever you do, do not forget to:

  • File annual returns for the previous financial year.

  • File other statutory statements where required.

  • Confirm meeting dates and set reminders to ensure that notices are sent out within the time frame stated in the Companies and Allied Matters Act (fourteen (14) days for board meetings and twenty-one (21) days for general meetings).

  • Ensure minutes of meetings are duly signed as soon as they are adopted, and keeping the minutes book updated.

  • Update the register of members upon the transfer or allotment of shares.

  • Update the record of directors upon the appointment or resignation of directors.
